What changed — reporting
The Companies and Allied Matters Act 2020 replaced the previous companies legislation, restating the law on company formation, administration and winding up.
Among its changes, the Act made provision for single-member private companies, introduced the limited liability partnership and the limited partnership as available structures, and addressed disclosure of persons with significant control.
What it means — our explanation
For a small business the most consequential parts are structural: the range of forms available, and how straightforward each is to run once registered.
The Act also sharpened the administrative spine of a company - registers, filings and disclosure. These are the obligations most often left until an investor, a bank or a regulator asks to see them, at which point they are far more expensive to remediate.
Choosing a structure is a liability decision first. Whether the business is a separate legal person from its owners is what determines whether its debts can reach their personal assets.
The Act is in force and applies to companies and registered entities in Nigeria. Confirm filing requirements and any transitional questions with the Corporate Affairs Commission.
